Banking and Finance

Ladvo team member has been involved various types of banking and finance transactions in Indonesia, ranging from straight forward debt and equity investments, to club deals, syndicated or bilateral banking and finance transactions. The list of clients that have handled by Ladvo team member includes various forms of financial institutions, private equities, venture capitals and investment banks, such as JP Morgan, Merrill Lynch, Morgan Stanley, State Bank of India, Bank Mandiri, BCA, and Bank UOB Buana. 

With its comprehensive knowledge on the basic principles of civil law and familiarity with the evolution and complication of financings, Ladvo team members are able to cater various forms of sophisticated financings such as venture capital investment, leveraged buyout, subordinated financing, and mezzanine financing. The highlight of Ladvo’s Structured Finance practice is its ability to tailor legal structures of any form of sophisticated and structured financings to ensure that clients will have freedom in exploring and elaborating all kinds of structures to meet the clients’ commercial terms while ensuring their legality and validity. To some extent Ladvo is prepared to provide preliminary tax advices to help structure deals and projects and shall refer to affiliate tax consultants for professional opinions. Ladvo team members have assisted several clients in structuring deals and projects, such as Merrill Lynch, Aureos Capital, and Lhasa Capital.


Litigation & Alternative Dispute Resolutions


Ladvo aims for our clients' best interest in a dispute. We have represented clients in court and out of court disputes. Ladvo always won all commercial litigation cases for our clients. Our recent high profile cases include representing the administrator of the Boeing Financial Assistance Fund for the settlement of the Boeing 737 Max Jetliner accident, Mr. Kenneth Feinberg. We have also obtained one of the biggest compensation for one the families of the victims of the Lion Air JT 610. We have also advised several State-Owned Enterprises (BUMN) in their high profile cases of which we cannot disclose.

Telecommunications and Information Technology are one of the most growing areas in Indonesia. Ladvo's advocates have vast experiences in advising and assisting clients who are industry captains. Our advocates have assisted clients such as, PayPal, Google, several blockchain based enterprises, and many others.


Public Policy

Ladvo’s excellent performance have led its managing partner, Sigit Ardianto to be appointed as counsel for numerous public policy initiatives, both under the administration of Susilo Bambang Yudhoyono and Joko Widodo. Sigit has directly advised Ibu Sri Mulyani during her reign as Minister of Finance under Susilo Bambang Yudhoyono in setting up the blue print for green energy financing and investment which includes upgrading the capacity of Pusat Investasi Pemerintah (PIP). Sigit has also advised The Minister of Energy and Mineral Resources (ESDM) in his capacity as professional lawyer and he was later recruited to the Task Force for New and Renewable Energy (Satgas P2EBT) directly under the Minister of ESDM in which he helped design and drafted the required regulations for energy policy initiatives of the Ministry. He also advised the Coordinating Minister for Economic Affairs on various policies such as setting up and drafting required regulations for the CPO Fund (Badan Pengelola Dana Kelapa Sawit). He also assisted the Presidential Staff Office Head (KSP) in preparing and reviewing regulations and laws required for several government policies such as Tax Amnesty, Special Economic Zones (Kawasan Ekonomi Khusus), etc.


Capital Markets and Securities

Ladvo team members are experienced in dealings with the capital market and various types of securities, whether it be debt, equity, hybrid, profit sharing (syaria), derivatives, or a combination of all that. Ladvo team is also prepared to broaden the type of financial assets available and tailors them to suit investors’ needs. Ladvo team is experienced in assisting both small-scale and large-scale Indonesian companies to go public. In the past, Ladvo team member have handled the initial public offering of shares of PT Indo Tambangraya Megah Tbk (ITMG) and PT Catur Sentosa Adiprana Tbk (CSAP), to name a few. Ladvo team members have also assisted numerous financial institutions, mostly foreign, in securities products being offered in Indonesia. They include Morgan Stanley, Barclays Capital, Citibank, and DBS.


Corporate & Debt Restructuring

Ladvo team members are directly involved in handling various debt structuring as a result of this crisis, both involving litigation proceedings, or plain ADR settlements resulting in restructuring agreements. Corporate restructurings on the other hand, have a continuous occurrence and Ladvo team member have assisted various types of corporate restructuring, whether it be shareholdings structure, debt to equity balancing, dividend channeling, etc. Ladvo team member have also handled corporate restructurings related to IPOs, debt financings, tax efficiency, and investment deals. The restructurings we have handled include restructuring for clients such as Standard Chartered Bank, Credit Suisse, and Ashmore Funds.


Foreign Investment

Ladvo also assists clients in administrative and licensing matters to support clients engaging in foreign investment in Indonesia which includes establishing foreign investment companies, structuring shareholdings to suit clients’ needs both legally and commercially, taking into account taxation aspects.


Mining & Energy

Ladvo team members have handled various mining and energy projects and transactions. Drawing its experiences from handling large mining companies such as being co-lead counsel for the IPO of Banpu (PT Indotambang Raya Megah Tbk) in Indonesia, Ladvo team member has familiarity with all types of legal issues involved in the mining industry, especially coal and nickel. We have also handled several other mining companies, including Adaro Group, Archean Group, Mittal Group, continuing with representing Falcon Energy in acquiring several coal mines in Indonesia under the new mining law regime, Ladvo team member affirms its grip on the practice area of Mining and Energy. Ladvo team members have also been involved in green energy projects, including micro hydro and geothermal based power plants.
